STATUTE OF THE HEYDAR ALIYEV CENTER

1. General Provisions

1.1. The Heydar Aliyev Center (hereinafter referred to as ‘The Center’) was established pursuant to Decree on the Foundation of the Heydar Aliyev Center (No.1886) signed by the President of the Republic of Azerbaijan on December 29, 2006.

1.2. The Center is a government establishment responsible for conducting thorough studies, research, active promotion, protection, comprehensive development and application of the nation-building philosophy and the Azerbaijanism ideology of Heydar Aliyev, the recognized national leader of the Azerbaijani people, as well as rendering support to various fields of science, education, culture, public health, sports, environment and economy, conducting projects aiming at the development of these spheres and holding local, regional and international events.

1.3. The Center shall be directly subordinate and accountable to the President of the Republic of Azerbaijan

1.4. In its activities, the Center shall follow the Constitution of the Republic of Azerbaijan, the international legal instruments the Republic of Azerbaijan is a party to, the laws of the Republic of Azerbaijan, decrees and orders by the President of the Republic of Azerbaijan, resolutions and instructions of the Cabinet of Ministers of the Republic of Azerbaijan and the present Statute.

1.5. While performing its responsibilities and executing its authorities, the Center shall interact with the Government and local administration bodies, national and international organizations, legal and natural persons.

1.6. The Center shall constitute a legal entity (legal person) with an independent balance of its own, assets and property placed at its use in compliance with the legislation, treasury and bank accounts, a seal with the State Coat of Arms of the Republic of Azerbaijan and its name on it, as well as relevant forms and impresses.

1.7. The Center’s activities and maintenance shall be provided at the expense of the state budget of the Republic of Azerbaijan and other sources specified in the legislation.

1.8. The Center shall be located in the city of Baku.

 

2.  The Center’s Guidelines for Action

2.1. The Center’s guidelines for action shall be as follows:

2.1.1. Acquisition, protection, studies, active demonstration and promotion of memorabilia related to the life and activities of Heydar Aliyev, the recognized national leader of the Azerbaijani people;

2.1.2. Profound studies, research, active promotion, protection and comprehensive development of the nation-building philosophy and the Azerbaijanism ideology of Heydar Aliyev, the recognized national leader of the Azerbaijani people, as well as Heydar Aliyev’s legacy;

2.1.3. Application of the nation-building philosophy and the Azerbaijanism ideology of Heydar Aliyev, the recognized national leader of the Azerbaijani people, in various fields of national policy;

2.1.4. Cooperation with other agencies in the field of studies of legacy of Heydar Aliyev, the recognized national leader of the Azerbaijani people;

2.1.5. Raising international awareness and promotion of Azerbaijan’s history, culture, the Azerbaijani language and other national assets throughout the world;

2.1.6. Support to various fields in science, education, public health, sports, environment and economy, as well as implementation of projects promoting the areas mentioned above;

2.1.7. Arrangement of national, regional and international events;

2.1.8. Implementation of other guidelines of action prescribed to the Center by the President of the Republic of Azerbaijan.

 

3. Responsibilities of the Center

3.1. Pursuant to the guidelines of action specified in this Statute, the Center shall perform the following responsibilities:

3.1.1. Arranging studies and research of the nation-building philosophy and the Azerbaijanism ideology of Heydar Aliyev, the recognized national leader of the Azerbaijani people, as well as Heydar Aliyev’s legacy,  together with acquisition, collection, storage in funds, publication and demonstration of related materials;

3.1.2. Actively promoting the nation-building philosophy and the Azerbaijanism ideology of Heydar Aliyev, the recognized national leader of the Azerbaijani people, as well as Heydar Aliyev’s legacy, arranging public events in this field;

3.1.3. Holding events and drafting proposals aiming at protection and promotion the legacy of Heydar Aliyev, the recognized national leader of the Azerbaijani people, in science, education, culture, public health, sports, environment, economy and other spheres;

3.1.4. Raising public awareness regarding the Center’s activities, creating websites with a view to placing and regular update of the Center’s public information as specified in the legislation;

3.1.5. Offering Internet and other e-services;

3.1.6. Taking stock of  the Center’s material and financial assets, securing control over their use and conducting other steps with a view to increasing efficiency of the Center’s activities;

3.1.7. Proper and efficient spending of the state funds and other financial assets allocated to the Center;

3.1.8. Taking necessary steps to protect state secrets and confidential information, as well to observe security measures related to the guidelines for action;

3.1.9. Maintaining and protecting the Center’s archives;

3.1.10. Providing coordination with the activities of the Government bodies and agencies, international organizations, legal and natural persons among them, in the areas related to the Center’s guidelines of action;

3.1.11. Providing for independent use of the state property allocated to the Center in compliance with its guidelines of action;

3.1.12. Taking steps aiming at upgrading the Center’s structure and activities;

3.1.13. Drafting the Center’s action plans.

 

4. Rights of the Center

4.1. To conduct its activities, the Center shall be vested with the following rights:

4.1.1. To draft and implement proposals, programs, plans and events related to the Center’s guidelines of action, as well as to present them to the President of the Republic of Azerbaijan and other government agencies concerned for further discussion;

4.1.2. To provide comments on the use of Heydar Aliyev’s philosophy and vision, as well as Heydar Aliyev’s legacy in scientific works, works of art, media products and other publications;

4.1.3. To engage in activities not prohibited by the law with a view to accomplishing the Center’s mission;

4.1.4. To draft legal instruments related to the Center’s activities or to partake in the process of their drafting;

4.1.5. To present initiatives to the President of the Republic of Azerbaijan regarding Azerbaijan’s accession to international legal instruments;

4.1.6. To cooperate with international organizations and foreign government agencies concerned, to join relevant international unions and associations, as well as to study best practices abroad;

 

4.1.7. To make comments regarding the Center’s guidelines for action, to conduct analysis and make summaries, to draft analytic reviews, to conduct research and studies, to arrange promotion campaigns and submit proposals;

4.1.8. To establish awards honorary titles and decorations in the areas of the Center’s activities;

4.1.9. To issue publications and establish mass media outlets in compliance with the legislation;

4.1.10. To arrange conferences, symposia, museums, exhibitions, displays and other events relevant to the Center’s guidelines for activities;

4.1.11. With a view to guarantee proper use of the property placed into the Center’s disposal, to enter into independent agreements with natural and legal entities;

4.1.12. To hold events, to establish agencies (facilities) offering provisional or permanent services, on a contractual basis to engage in joint activities with private and public companies, and to generate profits by offering various services in a way not prohibited by the law;

4.1.13. With a view to performing its responsibilities and exercising its rights, to establish legal entities and other subordinate structures, and to act as the  founder (shareholder) with regard to these legal entities;

4.1.14. With a view to performing the Center’s responsibilities and exercising its rights, to receive grants, donations and other gratuitous transfers, as well as to establish grants, donations and scholarships;

4.1.15. To provide funding, logistical and institutional support to the services offered by other persons and events related to the Center’s area of activities;

4.1.16. To invite independent experts and professionals in the areas related to the Center’s activities;

4.1.17. With a view to getting access to the information (documents) related to the guidelines for the Center’s activities, to inquire government agencies, local administration bodies, physical and legal entities and to obtain the information (documents) requested;

4.1.18. To present proposals to the President of the Republic of Azerbaijan aiming at the improvement of the Center’s logistical support;

4.1.19. To exercise other rights related to the Center’s guidelines for activities.

 

5. The Center’s Activity Arrangement

5.1. The Center shall conduct its activities through its staff and subordinate agencies.

5.2. The number of the Center’s staff members shall be determined by the President of the Republic of Azerbaijan.

5.3. The Director appointed and dismissed by the President of the Republic of Azerbaijan shall manage activities of the Center. The Director of the Center shall bear personal responsibility for performing the center’s responsibilities and exercising its rights

5.4. The Director shall be supported by the First Deputy Director to be appointed and dismissed by the President of the Republic of Azerbaijan, and one more Deputy. Both Deputies shall perform the responsibilities prescribed to them by the Center’s Director and shall bear personal responsibility for their performance.

5.5. The Director of the Center shall:

5.5.1. Arrange for and manage the Center’s activities;

5.5.2. Distribute powers among the Deputies, determine authorities among other employees of the Center in the areas related to personnel, human resources, production, business, etc. and create enabling conditions for their cooperation;

5.5.3. Take necessary steps to perform the Center’s responsibilities and exercise its rights;

5.5.4. Approve the structure of the main office and subordinate agencies within the existing institutional chart, wages fund and the limits for the number of personnel, and uphold the personal arrangements together with the estimate of costs within the budget available;

5.5.5. In compliance with existing regulations, appoint and dismiss employees of the Center’s main office, as well as the managers of subordinate agencies and other personnel;

5.5.6. Approve charters of the Center’s structural units, subordinate agencies and legal entities;

5.5.7. Impose rewards and penalties upon the Center’s employees;

5.5.8. Adopt by-laws through orders and instructions, as well as arrange for their enforcement and control;

5.5.9. Act on behalf of the Center with no power of attorney, represent the Center, sign relevant international instruments;

5.5.10. Submit proposals concerning annual budgetary allocations and extra-budgetary funds for the issues related to the Center’s authorities;

5.5.11. Arrange for efficient use of the funds assigned from the national budget;

5.5.12. As administrator of both budgetary and extra-budgetary funds, distribute assets among the agencies, provide for additional remunerations, financial support and bonuses to employees as foreseen by the legislation and within the funds available;

5.5.13. Pass resolutions on internal security at the Center’s premises;

5.5.14. Establish corporate discipline rules;

5.5.15. Independently dispose the Center’s property in compliance with the legislation, enter into agreements, issue powers of attorney (warrants), establish settlement (checking) and other bank accounts;

5.5.16. Arrange for the Center’s operation plans;

5.5.17. Present proposals on enhancing the Center’s output together with performance reports to the President of the Republic of Azerbaijan.

5.6. The Director of the Center may empower one of the deputies to perform part of his/her responsibilities or provisionally delegate his/her authorities to one of them.

 

5.7. Monthly salary of the Center’s Director shall be determined by the President of the Republic of Azerbaijan. Monthly salaries of Deputy Directors and other employees of the Center shall be determined by the Cabinet of Ministers of the Republic of Azerbaijan.

5.8. The Board of Directors comprising the Director (Chairman of the Board), Deputy Directors, heads of structural units and subordinate agencies shall be established at the Center. Number and membership of the Board of Directors shall be determined by the Director.

 

6. Financial and Economic Activities

6.1. The Center’s assets shall comprise the state property assigned to it, specific budgetary allocations, revenues for the works performed and services provided in the fields related to the Center’s activities, as well as proceeds from other sources specified in the legislation.

6.2. Assets of the Center shall be used to perform responsibilities and exercise rights specified in this Statute. The Center shall provide logistical, legal and institutional support to the steps  undertaken in the framework of its guidelines for action.

6.3. With a view to performing its duties, the Center is entitled to establish and take use of special foundations formed at the expense of extra-budgetary funds, grants and donations provided by legal and natural persons including the foreign legal and natural entities, and international organizations.

6.4. Resources of the Center include land plots, buildings, installations, various facilities, technical means, operating instructions, scientific books and fiction, transportation means, equipment and machinery, as well as other logistics.

6.5. Land plots allocated to the Center shall remain in its permanent use.

6.6. The Center shall use its proceeds and property for further development of logistics, improvement of social and living conditions of its employees and other needs related to its activities in compliance with the legislation.

6.7. Pursuant to orders by the Director of the Center, redundancy payments, bonuses and other remunerations may be provided to the employees besides their salaries at the expense of the Center’s own funds.

 

7. Final Provisions

7.1. The Center is entitled to establish branch offices within the Republic of Azerbaijan and abroad.

7.2. The President of the Republic of Azerbaijan shall initiate the re-arrangement and dissolution of the Center.
